1. Acceptance of Terms

By engaging White Label WP for any of our WordPress maintenance services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, you must not use our services.

2. Description of Services

White Label WP provides comprehensive WordPress maintenance and support services designed to keep your WordPress website secure, updated, and performing optimally. Our services generally include, but are not limited to:

  • Regular WordPress core, theme, and plugin updates.
  • Website backups and restoration assistance.
  • Security monitoring and vulnerability assessments.
  • Performance optimization.
  • Uptime monitoring.
  • Troubleshooting of common WordPress-related issues.
  • Limited content edits or technical support as specified in your chosen plan.

The specific details of the services included in your plan, including scope, frequency, and any limitations, are outlined on our official pricing page: WordPress Maintenance Plans. We reserve the right to modify or discontinue any part of the services with reasonable notice.

3. Client Responsibilities

To ensure the effective delivery of our services, you agree to:

  • Provide White Label WP with all necessary access credentials (e.g., WordPress administrator access, hosting control panel, FTP access) in a timely and secure manner.
  • Ensure that your website and its content comply with all applicable laws, regulations, and third-party rights. White Label WP is not responsible for the content of your website.
  • Promptly respond to our communications regarding your website, updates, or any issues that may arise.
  • Maintain your own independent backups of your website. While we perform backups as part of our service, we do not guarantee complete restoration in all circumstances.
  • Notify us of any significant changes or updates made to your website by other parties (e.g., new plugins, themes, custom code) that may affect our ability to provide maintenance.

4. Fees and Payment

  • Pricing: The fees for our WordPress maintenance services are detailed on our pricing page: WordPress Maintenance Plans.
  • Billing: Services are billed [e.g., monthly, annually] in advance, as per your selected plan.
  • Payment: Payments are due on the agreed-upon billing cycle date. We reserve the right to suspend or terminate services for overdue accounts.
  • Refunds: Unless explicitly stated otherwise in your service agreement or by law, fees paid for services are generally non-refundable.

5. Term and Termination

  • Service Term: The term of this Agreement begins on the date you subscribe to our services and continues as per your chosen billing cycle (e.g., monthly, annually).
  • Termination by Client: You may terminate your service by providing [e.g., 30 days’] written notice prior to your next billing cycle. No refunds will be provided for any unused portion of a pre-paid service period.
  • Termination by White Label WP: We reserve the right to terminate this Agreement and your access to our services, with or without cause, upon [e.g., 7 days’] notice if you breach these Terms, including but not limited to non-payment of fees, or if your conduct is harmful to our business or other clients. Upon termination, we will delete all access credentials and website files we hold.

6. Limitation of Liability and Disclaimers

  • No Guarantees: While we strive to provide high-quality services, White Label WP does not guarantee that the services will be uninterrupted, error-free, or completely secure. WordPress, plugins, and themes are constantly evolving, and unforeseen issues can arise.
  • No Liability for Third-Party Actions: White Label WP is not liable for any losses or damages caused by third-party services, software, or external factors beyond our reasonable control, including but not limited to hosting provider issues, cyberattacks, software incompatibilities, or actions by other parties with website access.
  • Data Loss: You acknowledge that any website maintenance activity carries inherent risks, including potential data loss. You are responsible for maintaining your own comprehensive and up-to-date backups. White Label WP will not be held responsible for any data loss or damage to your website resulting from our maintenance activities, provided we have acted with reasonable care.
  • Maximum Liability: In no event shall White Label WP’s total liability to you for any and all claims arising out of or in connection with this Agreement exceed the total fees paid by you for the services in the three (3) months preceding the event giving rise to the liability.

7. Intellectual Property

You retain all ownership rights to your website content, data, and any intellectual property associated with your website. White Label WP retains all rights, title, and interest in its proprietary tools, processes, and any software developed or used to provide the services.

8. Confidentiality

Both parties agree to keep all confidential information (including but not limited to business and technical information, client data, and access credentials) confidential and not disclose it to third parties without prior written consent, except where required by law.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction – e.g., the laws of Nepal], without regard to its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in [Insert City/Region – e.g., Lalitpur, Bagmati Province, Nepal].
